However, it is also in the realm of corporate law that the greatest conflicts regularly arise—yet at the same time, it is here that the decisive course can be set for corporate stability. One key insight is important: Companies tend to emancipate themselves from their shareholders, much like children do from their parents. They are independent legal entities with their own interests, their own risk structure, and their own economic logic.
We regularly see companies being formed using standard templates, even though business structures are highly individualized. Errors in articles of incorporation, ownership structures, or succession plans often have lasting effects for decades and are nearly impossible to correct later on. At the same time, these structures determine financing options, investment capacity, and growth prospects, because lenders and investors have little tolerance for corporate law risks. For us, therefore, corporate law is not just about formation, restructuring, or M&A, but about securing a company’s ability to operate effectively over the long term.
