Business decisions are always focused on the future.
At the same time, the future is the most uncertain factor companies face. No one can reliably predict how markets will develop, how contractual partners will behave, or what risks will arise tomorrow. Economic success therefore does not come from predictions, but from shaping the future.
Laws provide a reliable regulatory framework for this. Because they must apply to everyone, they inevitably remain abstract. They cannot account for specific individual cases, a company’s unique goals, or the priorities of a project. In international business, another layer comes into play: Different legal systems offer different options for structuring agreements. That is why, even before drafting a contract, we assess which legal system, jurisdiction, or arbitration procedure most effectively supports our clients’ interests and provides long-term planning certainty.
Once the appropriate legal system has been identified, the actual drafting of the contract begins. Contracts translate the general legal framework into a customized plan for the future. They provide planning certainty for the specific case at hand, deliberately allocate risks, define responsibilities, and strike a balanced equilibrium among differing interests. Every contract is therefore an expression of a strategy and not merely a collection of legal clauses.
The path to this begins long before the first draft of a contract. Together, we develop a basis for decision-making, prioritize goals, and analyze opportunities and risks. Only once a party’s own interests are clearly defined can the interests of the contracting party be reconciled into a viable agreement. Negotiation strategy, game theory, and modern negotiation methods are therefore an integral part of our contract drafting process.
